1. Definitions
In these Terms:
- Service means Horizon's AI chatbot platform, including website crawling, document processing, chatbot hosting, embeddable widget, integrations, and related support services.
- Customer or you refers to the individual or legal entity registering for the Service.
- Subscription Term means the monthly billing cycle selected at signup.
- Subscription Fees means the recurring charges due and payable for use of the Service.
- Order Form means any online or offline form confirming subscription details including plan, term, and fees.
Headings serve convenience only and don't affect interpretation. Singular includes plural and vice versa.
2. Provision of Service
- Horizon makes the Service available once payment is received or upon enrollment in a free plan. The free plan provides dashboard access for building and testing chatbots only; a paid subscription is required to deploy chatbots publicly.
- You guarantee that all information provided is accurate and agree to promptly update contact or billing details.
- Horizon may change, enhance, or withdraw features as needed, provided any changes do not materially degrade core functionality.
3. License Grant & Restrictions
You receive a non-exclusive, non-transferable license to use the Service for your internal and business purposes.
You must not:
- Resell or redistribute the Service.
- Reverse-engineer or duplicate the Service.
- Use the Service to compete with Horizon.
- Interfere with the Service's operation or network.
- Upload unlawful, infringing, or malicious content, or attempt unauthorized access.
- Use the Service to generate responses that are intentionally misleading, harmful, or in violation of applicable laws.
4. Your Content & Data
- You retain ownership of all content you provide to the Service, including website content, uploaded documents, and chatbot configurations.
- By using the Service, you grant Horizon a license to crawl, process, store, and create vector embeddings of your content solely to provide the Service.
- You are responsible for ensuring you have the right to use and provide any content submitted to the Service.
- You are responsible for the accuracy and appropriateness of AI-generated responses displayed to your end users through your chatbot.
5. Fees, Billing & Auto-Renewal
- You agree to pay all Subscription Fees at rates in effect when charges are due. Fees are exclusive of applicable taxes, which you are responsible for.
- Fees are billed monthly in advance. Payment is non-cancellable and non-refundable.
- If you subscribe through the Shopify integration, billing is handled by Shopify in USD. Shopify's billing terms and refund policies apply to those transactions.
- Plans auto-renew at the end of each term. By signing up, you authorize Horizon to automatically charge your stored payment method for renewals.
- Horizon reserves the right to update fees or pricing plans with at least 30 days' notice prior to your next renewal. Changes take effect at renewal only.
6. Cancellation
- You may cancel your subscription at any time. Cancellation prevents future billing but does not entitle you to any refund.
- To avoid renewal charges, cancellation must occur at least 7 days before the end of your current term. Access continues until term-end.
7. No Refund Policy
All payments are final. No refunds — partial or full — will be issued under any circumstances, including:
- Cancellation mid-term
- Account inactivity or unused features
- Downgrades or upgrades
- Accidental or duplicate renewals
Please ensure you understand your plan and billing frequency before subscribing.
8. AI & Third-Party Services
- Horizon uses third-party AI providers (such as OpenAI) to generate chatbot responses. Your content and conversation data may be processed by these providers.
- AI-generated responses may not always be accurate. Horizon does not guarantee the correctness, completeness, or reliability of AI-generated content.
- If you enable third-party integrations (e.g., Shopify), your use of those services is subject to their own terms and policies.
9. Suspension & Termination
- If you violate these Terms or fail to pay, Horizon may temporarily suspend or permanently terminate the Service without notice. No refunds will be given.
- Upon termination for cause, Horizon has no obligation to retain or return your data.
10. Warranties & Liability
- The Service is provided “as is.” Horizon does not guarantee uninterrupted or error-free operation.
- Horizon disclaims all implied warranties, including merchantability and fitness for a particular purpose.
- Liability is limited to the amount paid in the 12 months prior to the event giving rise to a claim. In no case will Horizon be liable for indirect, incidental, or consequential damages.
11. Privacy & Data Processing
Your data is handled in accordance with our Privacy Policy. You are responsible for compliance with applicable privacy and data protection laws.
12. Changes to Terms
We may update these Terms by publishing a revised version and notifying you by email. Continued use after updates means you accept those changes.
13. Governing Law & Miscellaneous
- These Terms are governed by laws applicable in your jurisdiction or as specified in the Order Form.
- If any clause is found invalid, the rest remain enforceable.
- No third-party beneficiary rights arise under these Terms.
